1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of vehicle rental services provided by Carthenon, operating from 391 Orchard Road, #15-06, Singapore 238872 ("we," "our," or "us"). By engaging our services, completing a rental agreement, or making a reservation, you ("Client," "you," or "your") agree to be bound by these Terms.

Please read these Terms carefully before proceeding with any rental arrangement. If you do not agree with any part of these Terms, you should not use our services.

These Terms constitute a legal agreement between you and Carthenon. By signing a rental agreement or accepting these Terms electronically, you acknowledge that you have read, understood, and agree to be bound by them.

2. Definitions

For the purposes of these Terms, the following definitions apply:

• "Agreement" means these Terms and Conditions together with the rental contract and any additional terms specified at the time of booking.
• "Vehicle" means any motor vehicle provided by Carthenon for rental purposes, including all associated equipment and accessories.
• "Rental Period" means the time between vehicle pickup and return as specified in the rental agreement.
• "Client" or "Renter" means the individual or entity named in the rental agreement who is responsible for the vehicle during the Rental Period.
• "Authorized Driver" means the Client or any additional driver specifically approved and listed in the rental agreement.
• "Services" means the vehicle rental and related services provided by Carthenon.

3. Eligibility and Requirements

3.1 Age Requirements

To rent a vehicle from Carthenon, you must be at least 21 years of age and hold a valid driver's license that has been in effect for a minimum of two years. Certain vehicle categories may require drivers to be 25 years or older. We reserve the right to verify these requirements at our discretion.

3.2 Driver's License

You must present a valid driver's license issued by Singapore or a valid International Driving Permit (IDP) accompanied by your original national driver's license. Licenses must be current and not subject to any restrictions that would prevent legal operation of the rented vehicle.

3.3 Identification

Valid government-issued identification (passport, national ID card, or Singapore NRIC) must be presented at the time of vehicle pickup. We retain the right to refuse service if adequate identification cannot be verified.

3.4 Payment Method

A credit card in the Client's name is required for the security deposit and payment processing. Debit cards are not accepted for security deposit purposes.

4. Reservations and Booking

4.1 Making a Reservation

Reservations can be made through our website, by telephone, or by email. All reservations are subject to vehicle availability. A reservation is confirmed only upon receipt of our written confirmation via email or upon execution of a rental agreement.

4.2 Changes and Cancellations

You may modify or cancel your reservation by contacting us at least 48 hours before the scheduled pickup time without penalty. Cancellations made within 48 hours of pickup may incur charges equivalent to one day's rental fee. No-shows will be charged the full rental amount.

4.3 Vehicle Substitution

While we make every effort to provide the specific vehicle model reserved, we reserve the right to substitute a vehicle of comparable or higher specification if the reserved vehicle becomes unavailable due to unforeseen circumstances. You will be notified of any substitution as soon as practicable.

5. Rental Fees and Payment

5.1 Rental Charges

Rental charges are calculated based on the selected rental period and vehicle category. All prices are quoted in Singapore Dollars (SGD) and include:

• Comprehensive insurance coverage as specified in the agreement
• 24-hour roadside assistance
• Vehicle preparation and detailing
• Basic amenities (Wi-Fi, charging ports, navigation)

5.2 Security Deposit

A refundable security deposit is required at the commencement of the rental. The deposit amount varies by vehicle category and is held on your credit card throughout the Rental Period. The deposit will be released within 5-7 business days after the vehicle is returned in satisfactory condition and all charges have been settled.

5.3 Additional Charges

Additional charges may apply for:

• Mileage exceeding the included allowance
• Additional drivers not initially declared
• Late return fees (charges begin after a 30-minute grace period)
• Fuel replacement if the vehicle is not returned with the agreed fuel level
• Cleaning fees for excessive dirt or odors
• Traffic violations, parking fines, or Electronic Road Pricing (ERP) charges incurred during the rental

5.4 Payment Processing

Payment is due at the commencement of the rental unless other arrangements have been agreed in writing. We accept major credit cards. All payments are processed in Singapore Dollars.

6. Vehicle Use and Restrictions

6.1 Authorized Use

The Vehicle may only be operated by the Client or an Authorized Driver listed in the rental agreement. The Vehicle must be used solely for lawful purposes and in compliance with all applicable traffic laws and regulations in Singapore.

6.2 Prohibited Uses

You agree not to use the Vehicle for:

• Any illegal purpose or in commission of any crime
• Racing, competitive driving, or driver training purposes
• Transportation of hazardous materials
• Towing or pushing other vehicles
• Subleasing or unauthorized third-party rental
• Transportation of passengers for hire
• Off-road driving or on unpaved surfaces
• While under the influence of alcohol or controlled substances

6.3 Geographic Restrictions

The Vehicle must remain within Singapore unless prior written permission has been obtained from Carthenon. Unauthorized removal of the Vehicle from Singapore constitutes a material breach of this Agreement and may result in immediate termination and recovery of the Vehicle.

6.4 Vehicle Care

You are responsible for maintaining the Vehicle in good condition during the Rental Period. This includes checking and maintaining proper fluid levels, tire pressure, and reporting any mechanical issues or warning lights immediately. Smoking is prohibited in all vehicles.

7. Insurance and Liability

7.1 Included Coverage

All rentals include comprehensive insurance coverage with the following protections:

• Third-party liability coverage as required by Singapore law
• Collision damage coverage with applicable excess/deductible
• Theft protection with applicable excess/deductible

7.2 Client Liability

In the event of damage to or loss of the Vehicle, you are responsible for the excess amount specified in your rental agreement. This amount will be deducted from your security deposit. You may be liable for the full cost of damage or loss if:

• The damage or loss results from prohibited use as outlined in Section 6.2
• You fail to report an accident or incident as required
• The damage is caused by gross negligence or willful misconduct
• The Vehicle was operated by an unauthorized driver

7.3 Reporting Requirements

You must report any accident, damage, or theft to us and the relevant authorities immediately, regardless of the extent of damage. Failure to comply with reporting requirements may void insurance coverage and result in your full liability for all damages and losses.

8. Return of Vehicle

8.1 Return Conditions

The Vehicle must be returned to the agreed location at or before the scheduled return time. The Vehicle should be returned in the same condition as provided, with the agreed fuel level and reasonable cleanliness.

8.2 Late Returns

A grace period of 30 minutes is provided for late returns. After this period, hourly late fees will be charged. If the Vehicle is returned more than 2 hours late without prior authorization, you will be charged for an additional full day of rental.

8.3 Early Returns

For rentals exceeding 48 hours, early returns made with at least 24 hours' notice will not incur penalties. However, no refunds will be provided for unused rental time. The full rental charge for the originally agreed period remains payable.

9. Termination

9.1 Termination by Client

You may terminate this Agreement at any time by returning the Vehicle to us. However, you remain liable for all rental charges through the scheduled return date unless otherwise agreed.

9.2 Termination by Carthenon

We reserve the right to terminate this Agreement and repossess the Vehicle immediately without prior notice if:

• You breach any material term of this Agreement
• The Vehicle is used for prohibited purposes
• Payment obligations are not met
• We reasonably believe the Vehicle is in danger or being used illegally

Upon termination by us for cause, you remain liable for all rental charges and associated costs, including recovery and repossession expenses.

10. Limitation of Liability

To the fullest extent permitted by Singapore law:

• Carthenon's total liability under this Agreement shall not exceed the total rental charges paid for the applicable rental period.
• We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.
• We make no warranties regarding the suitability of the Vehicle for any particular purpose beyond safe and legal transportation.
• We are not liable for delays, failures, or losses caused by circumstances beyond our reasonable control, including mechanical breakdown, accidents, theft, or natural events.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under Singapore law.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any disputes arising from this Agreement.

11.2 Dispute Resolution

In the event of a dispute arising from this Agreement, both parties agree to first attempt resolution through good-faith negotiation. If negotiation proves unsuccessful within 30 days, either party may pursue resolution through the courts of Singapore.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the rental agreement and any written addenda, constitute the entire agreement between you and Carthenon regarding the rental services. They supersede all prior discussions, negotiations, and agreements.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver will be effective unless made in writing and signed by an authorized representative of Carthenon.

12.4 Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign our rights and obligations to any affiliated entity or successor organization.

12.5 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes have been posted constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.
